Terms of Service

Welcome to MillVault. These Terms of Service ("Terms") govern your access to and use of the MillVault application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MillVault is a software-as-a-service platform that helps sawmills, lumber operations, and woodworking businesses manage slab and lumber pack inventory, display a customer-facing gallery, and related features. The Service is provided on an "as is" and "as available" basis.

2. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account. You must be at least 18 years old to use the Service.

3. Subscriptions and Billing

• MillVault is offered on a subscription basis with monthly billing. Current plans and pricing are displayed within the Service.
• New accounts may include a free trial period. At the end of the trial, continued access requires a paid subscription.
• Subscriptions renew automatically each month until cancelled. You authorize us and our payment processor to charge your payment method on a recurring basis.
• Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's terms. We do not store your full payment card details.
• You may cancel at any time. Cancellation stops future renewals; fees already paid are non-refundable except where required by law.
• We may change pricing with reasonable advance notice. Continued use after a price change constitutes acceptance.

4. Your Content

You retain ownership of the data, photos, and information you upload ("Your Content"). You grant us a limited license to store, process, and display Your Content solely to provide the Service to you, including displaying inventory you choose to make public in your gallery. You are responsible for ensuring you have the rights to any content you upload.

5. Acceptable Use

You agree not to misuse the Service, including by attempting to gain unauthorized access, uploading unlawful or infringing content, interfering with the Service's operation, or using it to violate any applicable law.

6. Data and Availability

We make reasonable efforts to keep the Service available and your data secure, but we do not guarantee uninterrupted access. We recommend you periodically export your data using the export tools provided. We are not liable for any loss of data.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable period.

8. Disclaimers and Limitation of Liability

The Service is provided without warranties of any kind, express or implied. To the fullest extent permitted by law, MillVault and its operator will not be liable for any indirect, incidental, or consequential damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice within the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in New Hampshire.
